Welcome to Safurns ("Platform"). These Terms and Conditions ("Terms") govern your use of the Platform and constitute a legally binding agreement between you ("User") and the Platform operator. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

 

Introduction

1.1. The Platform operates as an online marketplace that connects Users seeking invoice discounting services with potential Investors interested in providing financing against the User's invoices.

1.2. By using the Platform, the User acknowledges and agrees to comply with these Terms and any additional guidelines or rules specified by the Platform operator.

 

Definitions

2.1. "Platform" refers to the Invoice Discounting Platform operated by [Platform Operator].

2.2. "User" refers to any individual or entity accessing or using the Platform.

2.3. "Investor" refers to individuals or entities interested in providing financing against the User's invoices through the Platform.

2.4. "Invoice" refers to the invoice or invoices uploaded by the User on the Platform for the purpose of discounting.

 

Platform Services

3.1. The Platform provides an online marketplace for Users to upload their invoices and avail invoice discounting services.

3.2. The Platform facilitates the connection between Users and potential Investors interested in discounting User's invoices.

3.3. The Platform may also provide additional services such as credit checks, verification, and monitoring of invoices, subject to separate terms and conditions.

 

User Obligations

4.1. The User represents and warrants that all information provided on the Platform, including invoices, is accurate, complete, and up-to-date.

4.2. The User acknowledges and agrees that they have the authority to upload and offer the invoices on the Platform for discounting.

4.3. The User shall be solely responsible for verifying the creditworthiness and legitimacy of any Investors before entering into any transaction.

4.4. The User agrees to comply with all applicable laws and regulations while using the Platform.

4.5. The User acknowledges that the Platform does not provide any financial or legal advice and the User should seek independent professional advice when using the Platform.

 

Investor Obligations

5.1. The Investor acknowledges and agrees that they have the authority and capability to invest in User's invoices and provide financing through the Platform.

5.2. The Investor shall conduct their own due diligence and assessment of the User and their invoices before entering into any transaction.

5.3. The Investor agrees to comply with all applicable laws and regulations while using the Platform.

5.4. The Investor acknowledges that the Platform does not provide any financial or legal advice and the Investor should seek independent professional advice when using the Platform.

 

Invoice Discounting Transactions

6.1. The Platform acts as a facilitator and takes full guarantee the availability of Investors or successful discounting of User's invoices.

6.2. The User understands and agrees that the actual discounting of invoices is subject to negotiation between the User and the Investor.

6.3. The Platform shall be liable for any disputes, losses, or damages arising from the invoice discounting transactions entered into between the User and the Investor.

6.4. The Platform may provide Users with certain tools, features, or information to facilitate the invoice discounting process. However, the User acknowledges that the Platform does not endorse or verify the accuracy, completeness, or legality of such tools, features, or information.

 

Fees and Payments

7.1. The Platform may charge fees or commission for the use of its services. Details of the fees and payment terms shall be provided separately.

7.2. The User acknowledges and agrees to pay the applicable fees as per the Platform's fee schedule.

7.3. The Platform shall have the right to deduct its fees from the discounted invoice amount before disbursing the remaining funds to the User.

7.4. The User agrees to provide accurate and complete banking or payment information for the purpose of receiving payments through the Platform.

 

Intellectual Property

8.1. The User acknowledges that all intellectual property rights in the Platform, including but not limited to trademarks, logos, and software, belong to the Platform operator.

8.2. The User shall not reproduce, distribute, modify, or create derivative works of the Platform's intellectual property without the prior written consent of the Platform operator.

8.3. The User grants the Platform operator a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and display the User's invoices for the purpose of facilitating the invoice discounting transactions through the Platform.

 

Confidentiality

9.1. Both the User and the Investor shall maintain the confidentiality of any confidential information shared during the invoice discounting process.

9.2. The User and the Investor agree not to disclose, use, or exploit any confidential information for any purpose other than the invoice discounting transactions facilitated through the Platform.

9.3. The Platform operator shall implement reasonable measures to protect the confidentiality and security of User's information but does not guarantee the absolute security of such information.

 

Data Privacy

10.1. The User acknowledges and agrees that the Platform operator may collect, use, store, and process User's personal information in accordance with the Platform's Privacy Policy.

10.2. The User agrees to provide accurate and complete information and to promptly update any changes to their personal information on the Platform.

10.3. The User acknowledges and agrees that the Platform operator may share User's information with Investors and other third parties for the purpose of facilitating the invoice discounting transactions.

 

Limitation of Liability

11.1. The Platform operator shall not be liable for any indirect, consequential, incidental, or punitive damages arising out of or in connection with the use of the Platform.

11.2. The Platform operator's liability, if any, shall be limited to the amount of fees paid by the User to the Platform operator.

 

Governing Law and Jurisdiction

12.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

12.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gujarat courts.

 

Severability

13.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

 

Entire Agreement

14.1. These Terms constitute the entire agreement between the User and the Platform operator concerning the use of the Platform and supersede any previous agreements or understandings.

 

Amendments

15.1. The Platform operator reserves the right to modify or amend these Terms at any time by providing notice to the User.

15.2. Continued use of the Platform after the notice of amendments shall constitute acceptance of the modified Terms.

 

Survival

16.1. The provisions of these Terms that by their nature extend beyond termination shall survive the termination or expiration of these Terms.

 

Counterparts

17.1. These Terms may be executed in multiple counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
